Welcome to the firm Herb!

I am very proud and excited to join the ff Venture Capital team as Senior Counsel. I have spent the last eight years practicing corporate law with a focus on advising entrepreneurial clients and early-stage investors on a full range of general corporate, transactional and securities law matters.

Most recently, I was a member of the corporate group at Sorin Rand LLP, where I concentrated my practice on entity structure, venture capital financings, corporate governance, as well as negotiating and drafting complex commercial agreements for technology companies. I had the pleasure of working with ffVC on several venture capital transactions and related matters and in the process, developed a great deal of respect for the ffVC team. I got a firsthand view of some of the great things ffVC is doing and learned that ffVC’s core values align with my personal core values so, I welcome the opportunity to join the ffVC team.

Earlier in my career, I spent six years practicing corporate and securities law with Gallagher, Briody & Butler (“GBB”) in Princeton, representing a variety of startup, early stage and middle market companies including several publicly traded small cap companies. One of the most exciting projects I worked on at GBB was the formation of the MIAX Options Exchange – a new fully electronic equities and options trading exchange which began trading in December 2012. I began my career pursuing my passion for saltwater fishing and marine conservation by serving as in-house counsel for the Recreational Fishing Alliance (“RFA”) where I advised the executive director and board of directors on legislative and regulatory matters impacting the recreational fishing industry. One of the highlights from my experience with the RFA was testifying before Congress on federal marine fisheries conservation and management issues.

A couple personal notes:

- No one in my family calls me “Herb”; My Dad is Herb and I’m Herb, Jr., so all of my family and many friends call me “J.R.”

- One of the high points of my 2013 fishing season was catching a 90# Bluefin tuna 60 miles offshore with my 7-year old son!

The greatest satisfaction of my career has come from developing strong relationships with clients, becoming their trusted advisor and helping them achieve their objectives. I look forward to leveraging my experience from working with many talented attorneys and entrepreneurial clients to help ffVC continue to achieve success.
